Welcome to Pine. These Terms of Service and Terms of Use (“Terms”) govern your access to and use of Pine’s website, messaging-based services, software, products, applications, waitlist, communications, and related services (collectively, the “Service”).

These Terms are a legal agreement between you and Pine, doing business as Pine (“Pine,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Pine Does

Pine is an AI-assisted agent marketplace that helps users request, discover, compare, coordinate, negotiate, book, or complete tasks, products, services, or appointments through messaging-based interfaces, including iMessage, SMS, web-based chat, or other communication channels.

Pine may help users with requests such as finding providers, comparing options, obtaining quotes, scheduling appointments, negotiating prices, or completing bookings. Pine may use automated systems, AI models, human review, third-party tools, third-party providers, or a combination of these to operate the Service.

Pine does not guarantee that any request will be completed, that any provider will be available, that any price will be honored, or that any result will meet your expectations.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using Pine, you represent that you meet this requirement and have the authority to agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts, Access, and Communications

You may need to provide information such as your name, phone number, email address, location, preferences, payment information, or other details to use certain parts of the Service.

You agree that the information you provide to Pine will be accurate, current, and complete. You are responsible for maintaining the confidentiality of your account, device, and communications.

By using Pine, you consent to receive communications from us through iMessage, SMS, email, web chat, push notifications, or other channels. Standard message and data rates may apply. You may opt out of certain communications where legally required, but some service-related communications may be necessary to provide the Service.

Pine is not affiliated with, endorsed by, or sponsored by Apple Inc. iMessage and related Apple marks are trademarks of Apple Inc.

4. AI-Assisted Services

Pine may use artificial intelligence, automated systems, or agentic workflows to process your requests, generate recommendations, communicate with providers, compare options, negotiate, summarize information, or support bookings.

You understand and agree that AI-generated outputs may be incomplete, inaccurate, outdated, or unsuitable for your specific circumstances. You should independently verify important details, including prices, availability, provider credentials, appointment times, cancellation terms, safety considerations, and payment obligations.

Pine is not a substitute for professional advice, including legal, medical, financial, tax, safety, or emergency advice. Do not use Pine for emergencies or time-sensitive safety issues. If you have an emergency, contact emergency services immediately.

5. Third-Party Providers and Marketplaces

Pine may connect you with, recommend, contact, or help coordinate with third-party businesses, professionals, sellers, service providers, platforms, websites, or marketplaces (“Third-Party Providers”).

Third-Party Providers are independent from Pine. Pine does not control and is not responsible for any Third-Party Provider’s services, products, pricing, availability, quality, safety, licensing, insurance, qualifications, conduct, cancellations, refunds, or representations.

Unless we expressly state otherwise in writing, Pine does not endorse, guarantee, or warrant any Third-Party Provider. Any transaction, appointment, purchase, booking, service, or relationship between you and a Third-Party Provider is between you and that Third-Party Provider.

You are responsible for reviewing and complying with any third-party terms, privacy policies, cancellation policies, refund policies, and payment obligations.

6. Bookings, Purchases, Payments, and Fees

Pine may help you book services, purchase products, reserve appointments, compare prices, or coordinate transactions. You authorize Pine to take actions reasonably necessary to fulfill requests you submit through the Service, including contacting providers, sharing request details, requesting quotes, confirming availability, and, where enabled, initiating bookings or payments.

If Pine offers payments, paid features, service fees, subscriptions, deposits, or transaction fees, the applicable pricing and payment terms will be shown to you before purchase or authorization. You agree to pay all charges you authorize, including applicable taxes, fees, provider charges, cancellation fees, or no-show fees.

Prices, discounts, availability, and booking terms may change. Pine does not guarantee that any quote, estimate, discount, or negotiated price will remain available until confirmed.

Refunds, cancellations, and disputes may be governed by Pine’s policies, the Third-Party Provider’s policies, or both. Unless otherwise stated, fees paid to Pine may be non-refundable to the maximum extent permitted by law.

7. User Requests and User Content

You may submit messages, requests, preferences, files, images, reviews, feedback, instructions, or other content to Pine (“User Content”).

You retain ownership of your User Content, but you grant Pine a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, transmit, display, and process your User Content as necessary to provide, improve, secure, and operate the Service.

You represent that you have the rights necessary to provide your User Content and that your User Content does not violate any law, third-party right, or these Terms.

You agree not to submit User Content that is unlawful, harmful, fraudulent, deceptive, defamatory, obscene, invasive of privacy, infringing, or otherwise objectionable.

8. Privacy

Your use of the Service is also governed by Pine’s Privacy Policy, which explains how we collect, use, share, and protect information.

By using the Service, you acknowledge that Pine may collect and process information as described in the Privacy Policy.

9. Acceptable Use

You agree not to use the Service to:

Violate any law, regulation, contract, or third-party right.

Submit false, misleading, or fraudulent information.

Impersonate any person or entity.

Harass, threaten, abuse, or harm others.

Request or facilitate illegal, unsafe, exploitative, or harmful activity.

Circumvent, disable, or interfere with the Service’s security or functionality.

Scrape, copy, reverse engineer, or misuse the Service.

Use the Service to generate spam, deceptive communications, fake reviews, or fraudulent transactions.

Attempt to manipulate providers, users, rankings, prices, or marketplace outcomes in an abusive or deceptive way.

Use Pine for emergency services or urgent safety-critical situations.

We may suspend or terminate access to the Service if we believe you have violated these Terms or created risk for Pine, other users, providers, or third parties.

10. Reviews, Ratings, and Feedback

If Pine allows reviews, ratings, testimonials, or feedback, you agree that any review or rating you submit will reflect your honest experience and will not be fake, misleading, paid for without disclosure, generated deceptively, or submitted to manipulate marketplace activity.

You grant Pine the right to use feedback, suggestions, ideas, or comments you provide without restriction or compensation. We may use feedback to improve, promote, or modify the Service.

11. Pine Intellectual Property

The Service, including Pine’s software, design, branding, logos, text, graphics, interfaces, workflows, algorithms, and other materials, is owned by Pine or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Service unless we expressly permit it in writing.

Subject to these Terms, Pine grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use.

12. Beta Features and Waitlist Access

Some parts of the Service may be offered as beta, early access, waitlist, experimental, or preview features. These features may be incomplete, unavailable, changed, suspended, or discontinued at any time.

Beta features are provided “as is” and may contain errors, inaccuracies, or interruptions. We may limit access to beta features at our discretion.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

Pine disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

Pine does not warrant that:

The Service will be uninterrupted, secure, or error-free.

AI-generated outputs will be accurate, complete, or reliable.

Providers will perform as expected.

Any booking, price, discount, or transaction will be completed.

The Service will meet your specific needs or expectations.

14. Limitation of Liability

To the maximum extent permitted by law, Pine and its officers, directors, employees, contractors, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, service interruptions, provider misconduct, failed bookings, or transaction disputes.

To the maximum extent permitted by law, Pine’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

The amount you paid to Pine for the Service in the three months before the event giving rise to the claim; or

One hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Pine and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

Your use or misuse of the Service.

Your User Content.

Your violation of these Terms.

Your violation of any law or third-party right.

Your transactions or interactions with Third-Party Providers.

16. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service at any time if we believe you have violated these Terms, created risk, caused harm, or used the Service in a way that is unlawful, abusive, or inconsistent with Pine’s intended purpose.

You may stop using the Service at any time. Certain provisions of these Terms will survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

17. Changes to the Service

Pine may modify, suspend, or discontinue all or part of the Service at any time. We may add or remove features, change how the Service works, limit access, or update functionality.

We are not liable for any modification, suspension, or discontinuation of the Service.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by posting the updated Terms, updating the “Last Updated” date, or sending you a notice.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

20. Dispute Resolution

Before filing a claim, you agree to first contact Pine at kevin.song200@gmail.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith discussions.

21. Force Majeure

Pine will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including acts of God, natural disasters, labor disputes, internet or telecommunications failures, service provider outages, cyberattacks, war, terrorism, civil unrest, government actions, or failures of third-party platforms.

22. Miscellaneous

These Terms, together with any policies referenced in them, are the entire agreement between you and Pine regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

You may not assign these Terms without our prior written consent. Pine may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Pine and The Founders of Pine assume no responsibility for any harm.
